Hess Midstream Partners LP’s High‑Yield Senior Notes Offering

Cravath represented the initial purchasers, led by J.P. Morgan Securities, Citigroup, Wells Fargo Securities, MUFG, Goldman Sachs & Co. LLC and Morgan Stanley, in connection with the $550 million 144A/Reg. S high‑yield senior notes offering of Hess Midstream Partners LP, a fee‑based, growth‑oriented, traditional master limited partnership formed by Hess Corporation to own, operate, develop and acquire a diverse set of midstream assets and provide fee‑based services to Hess and third‑party customers. The transaction closed on December 10, 2019.

The Cravath team includes partner D. Scott Bennett and associates Yannick Adler, Joel Feigenbaum and Cedrick M. Dalluge on securities matters, and associate Rory M. Minnis on tax matters.
