Howmet Aerospace Inc.’s $1.2 Billion Registered Notes Offering

Cravath represented the underwriters, led by J.P. Morgan Securities, Citigroup and Goldman Sachs & Co. LLC, in connection with the $1.2 billion registered notes offering of Howmet Aerospace Inc., a leading global provider of advanced engineered solutions for the aerospace and transportation industries. Cravath also represented the dealer managers in connection with Howmet Aerospace Inc.’s concurrent cash tender offer. The transaction closed on April 24, 2020.
The Cravath team included partners Andrew J. Pitts, D. Scott Bennett and C. Daniel Haaren and associates Claudia J. Ricciardi and James I. Kim on securities matters, and associates Peter W. Rogers and Carlos Nicholas Obando on tax matters. Sahar Khorramnezhad also worked on securities matters.
