Lawdragon Names Tim Cameron to 2020 List of Legends

Cravath partner Timothy G. Cameron was named to Lawdragon’s 2020 list of “Legends,” which recognizes the lawyers who have been featured among Lawdragon’s list of the “500 Leading Lawyers in America” for 10 consecutive years. Lawdragon described those on the list as among the “industry’s most elite,” noting Tim’s client base comprising “many of the world’s leading companies” that trust him “with their most important cases”.

    Mylan’s $50 Billion Combination with Upjohn, a Division of Pfizer

    On July 29, 2019, Mylan N.V. and Pfizer Inc. announced a definitive agreement to combine Mylan with Upjohn, Pfizer's off-patent branded and generic established medicines business, creating a new global pharmaceutical company. Under the terms of the agreement, which is structured as an all-stock, Reverse Morris Trust transaction, each Mylan share would be converted into one share of the new company. Pfizer shareholders would own 57% of the combined new company, and Mylan shareholders would own 43%. Cravath is representing Mylan in connection with the transaction.

    PG&E Initiates Voluntary Reorganization in Connection with the Resolution of Potential Liabilities Resulting from Northern California Wildfires

    On January 14, 2019, following a comprehensive review, PG&E Corporation (“PG&E” or “the Company”) announced its intent to initiate voluntary reorganization proceedings under chapter 11, through which it intends to address its responsibilities to stakeholders and achieve an orderly, fair and expeditious resolution of potential liabilities resulting from the unprecedented 2017 and 2018 Northern California wildfires. Cravath is representing PG&E as principal advisory counsel; in corporate matters related to its chapter 11 proceedings, including the arrangement of Debtor-in-Possession (“DIP”) financing; and as lead trial counsel in related litigation.
