Cravath represented the initial purchasers, led by Bank of America Merrill Lynch, Citigroup and J.P. Morgan Securities, in connection with the $5 billion 144A/Reg. S notes offering of Mars, Incorporated, a privately‑held, family‑owned business comprised of market‑leading consumer brands. The transaction closed on March 29, 2019.
The Cravath team was led by partners William V. Fogg and Michael E. Mariani and associates Jennifer Uren and Arash Ardalan on securities matters; associate Leon B. Dalezman on tax matters; and partner Matthew Morreale on environmental matters.
