Navistar International Corp.’s High‑Yield Senior Debt Offering

Cravath represented the underwriters, J.P. Morgan Securities, Credit Suisse, BofA Merrill Lynch and Goldman, Sachs & Co., in connection with the US$300 million registered high‑yield senior debt offering of Navistar International Corporation, a leading manufacturer of commercial and military trucks, buses, diesel engines and recreational vehicles. The transaction closed on April 2, 2013.
The Cravath team included partners William V. Fogg and Craig F. Arcella and associates Christopher K. Couvelier and Rachel M. Over on corporate matters; partner J. Leonard Teti II on tax matters; associate Sarah E. Fortt on executive compensation and benefits matters; and partner Matthew Morreale on environmental matters. Jason A.
