New Enterprise Stone & Lime Co.’s High‑Yield Senior Secured Notes Offering

March 14, 2018

Cravath represented the initial purchasers, Goldman Sachs & Co. LLC and KKR, in connection with the $450 million 144A/Reg. S high‑yield senior secured notes offering of New Enterprise Stone & Lime Co., Inc., a privately held, vertically integrated construction materials supplier, heavy/highway construction contractor and national traffic safety equipment provider. The transaction closed on March 12, 2018.

The Cravath team included partner Bill Whelan, practice area attorney Janet L. Lewis and associates David J. Kohtz and Holden K. Sumner on securities matters; partner Tatiana Lapushchik and associate DongHwa Kim on banking matters; associates Cecily Xi and Rebecca L. Fine on tax matters; and senior attorney Annmarie M. Terraciano on environmental matters. Jiyeon K. Barta also worked on securities matters.
