PepsiCo’s Acquisition of Pepsi Bottling Group Shares

On April 27, 2009, the Firm announced that Cravath is representing The Pepsi Bottling Group, Inc. in connection with the April 20 offer by PepsiCo, Inc. to acquire the shares in The Pepsi Bottling Group that it does not already own. The Pepsi Bottling Group is the world’s largest manufacturer, seller and distributor of Pepsi-Cola beverages, with annual sales of nearly $14 billion. The lawyers involved in this matter include partners Robert I. Townsend, III and George F. Schoen on corporate matters, partner Stephen L. Gordon on tax matters and partner Eric W. Hilfers on executive compensation and benefits matters.
