Phillips 66 Partners LP’s Common Unit Offering

Cravath represented the underwriter, RBC Capital Markets, in connection with the US$301 million registered offering of common units of Phillips 66 Partners LP, a growth‑oriented master limited partnership formed by Phillips 66 to own, operate, develop and acquire primarily fee‑based crude oil, refined petroleum product and natural gas liquids pipelines and terminals and other transportation and midstream assets. The units were listed on the New York Stock Exchange. The transaction closed on August 12, 2016.
