Phillips 66 Partners’s Common Unit Offering

Cravath represented the sales agents, led by RBC Capital Markets, Bank of America Merrill Lynch, Barclays, Citigroup, Credit Suisse, Deutsche Bank Securities, Mizuho Securities and Morgan Stanley, in connection with the establishment of an at‑the‑market program with respect to common units totaling up to US$250 million of Phillips 66 Partners LP, a growth‑oriented master limited partnership formed by Phillips 66 to own, operate, develop and acquire primarily fee‑based crude oil, refined petroleum product and natural gas liquids pipelines and terminals and other transportation and midstream assets. The common units are listed on the New York Stock Exchange. The program was established on June 6, 2016.

The Cravath team included partner Andrew J. Pitts and associates John R. Love and William A. Magioncalda.
