Phillips 66 Partners’s Registered Common Unit Offering

May 10, 2016

Cravath represented the underwriters, led by Barclays, in connection with the US$663 million registered offering of common units of Phillips 66 Partners LP, a growth‑oriented master limited partnership formed by Phillips 66 to own, operate, develop and acquire primarily fee‑based crude oil, refined petroleum product and natural gas liquids pipelines and terminals and other transportation and midstream assets. The shares were listed on the New York Stock Exchange. The transaction closed on May 10, 2016.

The Cravath team included partner Andrew J. Pitts and associates John R. Love and William A. Magioncalda.
