Richard Hall and Nick Dorsey Contribute to The Legal 500’s 2021 Country Comparative M&A Guide

Cravath partner Richard Hall served as contributing editor of The Legal 500’s 2021 “Mergers & Acquisitions Country Comparative Guide,” which was published in April, 2021. The guide provides readers with a pragmatic overview of M&A laws and regulations across global jurisdictions. Richard authored the United States chapter of the guide, which discussed M&A trends, the current state of the market and key considerations for companies and shareholders.

Together with Richard, partner Nicholas A. Dorsey authored a “Hot Topic” article entitled “SPAC Transactions in the United States,” which discussed the increased involvement of Special Purpose Acquisition Companies (“SPACs”) in M&A transactions. The authors reviewed current trends in SPAC transactions, including higher profile sponsors searching for larger targets, SPAC options for additional financing beyond their IPOs and structural innovation in deals.
