    Upstream Rehabilitation, Inc.’s Credit Facilities

    Cravath represented Credit Suisse as administrative agent and lead arranger in connection with the arrangement of $745 million of credit facilities made available to Upstream Rehabilitation, Inc., a leading provider of outpatient clinics and rehabilitation therapy centers. The facilities consisted of a $50 million first lien revolving credit facility, a $555 million first lien term loan facility and a $140 million second lien term loan facility. The transaction closed on November 20, 2019.

    Cravath represented the initial purchasers, led by Morgan Stanley, Goldman Sachs, Citigroup and J.P. Morgan Securities, in connection with the $2.65 billion 144A/Reg. S high‑yield senior subordinated notes offering of TransDigm Inc., a leading global designer, producer and supplier of highly engineered aircraft components. The transaction closed on November 13, 2019.

    Cravath represented the borrower, Ferroglobe PLC, in connection with its $100 million revolving credit facility provided by PNC Bank, National Association. Ferroglobe PLC is one of the world’s largest producers of silicon metal, silicon-based alloys and manganese-based alloys. The transaction closed on October 11, 2019.
