Sponsor‑Backed Controlled Company IPOs and Non‑Controlled Company IPOs

On April 18, 2022, Cravath prepared two governance surveys for its clients entitled “Sponsor‑Backed Controlled Company IPOs” and “Non‑Controlled Company IPOs,” which summarize the key governance features of companies that have recently completed their initial public offering. These surveys discuss and analyze the governance structures employed in recent public offerings, including the use of multi‑class share structures, board of director structures and shareholder rights. With respect to companies that qualified as “emerging growth companies,” the surveys summarize the extent to which these EGCs took advantage of the exceptions available to them.
