TeamHealth’s High‑Yield Senior Notes Offering

November 23, 2015

Cravath represented the initial purchasers, led by Citigroup, BofA Merrill Lynch, J.P. Morgan Securities, Barclays, Goldman, Sachs & Co. and RBS, in connection with the US$545 million 144A/Reg. S high‑yield senior notes offering of TeamHealth, Inc., a subsidiary of Team Health Holdings, Inc., one of the largest suppliers of outsourced healthcare professional staffing and administrative services to hospitals in the United States. Proceeds of the offering were used to finance the acquisition of IPC Healthcare, Inc. by TeamHealth. The transaction closed on November 23, 2015.

The Cravath team included partner Stephen L. Burns and associate Nicholas A. Dorsey. Alan Campbell also worked on this matter.

The transaction closed on January 14, 2026.
