The Mosaic Company’s $1.25 Billion Registered Senior Notes Offering

Cravath represented the underwriters, led by BNP Paribas, Bank of America Merrill Lynch, Goldman Sachs & Co. LLC, J.P. Morgan Securities, BMO Capital Markets, Mitsubishi UFJ Financial Group, US Bancorp and Wells Fargo Securities, in connection with the $1.25 billion registered senior notes offering of The Mosaic Company, a leading producer and marketer of concentrated phosphate and potash crop nutrients. Proceeds of the offering will be used to finance Mosaic’s acquisition of Vale S.A.’s global phosphate and potash operations conducted through Vale Fertilizantes S.A. The transaction closed on November 13, 2017.
The Cravath team included partner William V. Fogg and associate Jeremy S. Lerner on securities matters, and associate Damien J. Rose on tax matters. Jeffrey M. Amico also worked on securities matters.
