The Mosaic Company’s $1.3 Billion Registered Secondary Common Stock Offering

November 24, 2021

Cravath represented the underwriter in connection with the $1.3 billion registered secondary common stock offering of The Mosaic Company, the world’s leading producer and marketer of concentrated phosphate and potash crop nutrient. The shares were listed on the New York Stock Exchange. The transaction closed on November 9, 2021.

The Cravath team included partners William V. Fogg and Michael E. Mariani and associates Alexander E. Greenberg and Caroline B. Bowman on capital markets matters, partner Christopher K. Fargo and associate Carlos Nicholas Obando on tax matters, and partner Matthew Morreale on environmental matters. John Yu also worked on capital markets matters.
