On September 13, 2022, Cravath partner Andrew Davis participated in a webinar entitled “Inflation Reduction Act - First Impressions,” hosted by the American Bar Association. Andrew spoke on a panel regarding the newly enacted corporate alternative minimum tax, with a focus on its impact on M&A transactions.

Cravath represented the underwriters in connection with the $1 billion registered senior notes offering of The Sherwin Williams Company, a developer, manufacturer and distributor of paint, coatings and related products to professional, industrial, commercial and retail customers. The transaction closed on August 10, 2022.

Cravath represented the underwriters in connection with the $3 billion registered senior notes offering of KLA Corporation, a leading supplier of process control and yield management solutions for the semiconductor and related nanoelectronics industries. Cravath also represented the dealer managers in connection with KLA Corporation’s concurrent debt tender offer for up to $500 million of its 4.650% senior notes due 2024. The registered senior notes offering closed on June 23, 2022 and the debt tender offer closed on July 7, 2022.

Cravath represented the administrative agents, joint lead arrangers and joint bookrunners, in connection with the arrangement of $3.07 billion of senior secured credit facilities and a $275 million senior unsecured bridge facility made available to Entegris, Inc., a leading supplier of advanced materials and process solutions for the semiconductor and other high‑technology industries, in connection with its acquisition of CMC Materials, Inc. The facilities consisted of a $2.495 billion senior secured term loan facility, an upsized $575 million senior secured revolving credit facility and a $275 million senior unsecured bridge facility. The transactions closed on July 6, 2022.
