Cravath Partners Featured by Crain’s as 2023 “Notable Women in Law”

June 23, 2023

Cravath partners Margaret T. Segall and Sasha Rosenthal‑Larrea were named to Crain’s New York Business’s 2023 list of “Notable Women in Law,” published on June 20, 2023. The feature honors lawyers who have “performed consequential legal or pro bono work, served as mentors, promoted inclusivity and assumed leadership roles in civic or philanthropic endeavors.”

Crain’s highlighted Maggie’s work advising clients on antitrust matters, including “more than $600 billion in proposed or completed transactions,” and noted in particular her representation of AerCap in connection with its $30 billion acquisition of GE Capital Aviation Services.

Crain’s noted Sasha’s representations of clients including Biogen and Valvoline, and her role as a partner liaison for the nonprofit Her Justice, which assists disadvantaged women with legal representation.

      Maggie Segall Speaks at the American Bar Association’s 2022 Antitrust In‑House Institute

      On September 20, 2022, Cravath partner Margaret T. Segall participated in the 2022 Antitrust In‑House Institute, which was hosted by the American Bar Association Antitrust Law Section from September 19‑20, 2022. Maggie spoke on a panel entitled “How to Get Your Global Merger Cleared,” which examined how in‑house counsel can navigate unpredictable merger control reviews. The panel also discussed the increasing number of foreign direct investment regimes, potential future changes to the review process in the United States and globally and how in‑house counsel can best support their clients in the evolving environment.

      Maggie Segall Speaks at the American Bar Association’s 2022 Antitrust in Healthcare Conference

      On June 3, 2022, Cravath partner Margaret T. Segall participated in the American Bar Association Antitrust Law Section and Healthcare Law Section’s 2022 Antitrust in Healthcare Conference, which was held from June 2‑3, 2022 in Arlington, Virginia. Maggie spoke on a panel entitled “New Challenges to Vertical Healthcare Transactions,” which reviewed the potential impact of the Federal Trade Commission and the Department of Justice’s recent enforcement actions. The panel anticipated revisions to the Vertical Merger Guidelines on healthcare merger enforcement and remedies, and shared methods for attorneys to consider in approaching vertical issues for their clients.

      Valvoline’s $2.65 Billion Sale of its Global Products Business to Aramco

      On August 1, 2022, Valvoline Inc., a global leader in vehicle care, announced it has reached a definitive agreement with Aramco for the sale of Valvoline’s Global Products business to Aramco for $2.65 billion in cash. Cravath is representing Valvoline in connection with the transaction.

      Johnson & Johnson’s $16.6 Billion Acquisition of Abiomed

      On November 1, 2022, Johnson & Johnson and Abiomed, a leader in breakthrough heart, lung and kidney support technologies, announced that they have entered into a definitive agreement under which Johnson & Johnson will acquire through a tender offer all outstanding shares of Abiomed, for an upfront payment of $380 per share in cash, corresponding to an enterprise value of approximately $16.6 billion which includes cash acquired. Abiomed shareholders will also receive a non-tradeable contingent value right (“CVR”) entitling the holder to receive up to $35 per share in cash if certain commercial and clinical milestones are achieved. Cravath is representing Johnson & Johnson in connection with the transaction.
