Cravath’s London Office Moves to 100 Cheapside
On September 16, 2022, Cravath partner Lauren Angelilli was featured as a 2022 Tax MVP by Law360, which highlighted her role as the head of the Firm’s Tax Department and her work on major transactions, including Canadian National’s $33.6 billion agreement to acquire Kansas City Southern. Lauren described helping clients navigate the shifting domestic and international tax landscape. She also explained what drew her to becoming a tax attorney, noting the importance of interpersonal skills in helping communicate to clients the best path forward, and shared advice for junior attorneys, encouraging them to “be inquisitive and speak up.”

May 21, 2021
On May 21, 2021, Canadian National Railway (“CN”) and Kansas City Southern (“KCS”) announced that they have entered into a definitive merger agreement. Under the terms of the agreement, which was unanimously approved by the Board of Directors of each company, KCS shareholders will receive $325 per common share based on CN’s May 13, 2021 offer, which implies a total enterprise value of $33.6 billion, including the assumption of approximately $3.8 billion of KCS debt. Cravath is representing CN in connection with the transaction.
