On February 6, 2023, RedHill Biopharma Ltd. (“RedHill”), a specialty biopharmaceutical company, announced the extinguishment of all RedHill’s debt obligations (including all principal, interest, revenue interest, prepayment premiums and exit fees) under the Credit Agreement between RedHill’s U.S. subsidiary RedHill Biopharma Inc. and HealthCare Royalty (“HCR”) dated February 23, 2020 (as amended) in exchange for the transfer of its rights in Movantik® (naloxegol) to Movantik Acquisition Co., an affiliate of HCR. Cravath is representing RedHill in connection with the transaction.

On February 2, 2023, FS Investments, a pioneer in the democratization of alternative investments with more than $35 billion in assets under management, and Portfolio Advisors, a global middle‑market private asset specialist with more than $38 billion in assets under management, announced they have entered into a definitive agreement to combine their firms. The combined company will be poised for growth with over $73 billion in assets under management, including a significant permanent capital base, and a robust distribution platform. On January 24, 2023, WiseTech Global, developer of leading logistics execution software CargoWise, announced its acquisition of Envase Technologies (“Envase”), a leading provider of transport management system software for intermodal trucking, drayage (container haulage) and landside logistics in North America, in a transaction valued at $230 million. Envase is being acquired from private investment firm and supply chain investor Firmament, and a small number of other sellers. Cravath is representing WiseTech Global in connection with the transaction.

On December 21, 2022, IsoPlexis, a life sciences company with platforms that provide insights into how multi-functional immune cells communicate and respond, and Berkeley Lights, a life sciences tools company, announced a definitive agreement under which Berkeley Lights will acquire IsoPlexis in an all-stock transaction. Under the terms of the agreement, IsoPlexis shareholders will receive 0.612 shares of Berkeley Lights stock for each IsoPlexis share they hold. Following the close of the transaction, Berkeley Lights shareholders will own approximately 75.2 percent of the combined company, and IsoPlexis shareholders will own approximately 24.8 percent of the combined company. The combined company will be named PhenomeX. Cravath is representing IsoPlexis in connection with the transaction.

On December 13, 2022, Lifezone Metals, a developer of cleaner battery metals, announced it has entered into a definitive agreement for a business combination with GoGreen Investments, a publicly-listed special acquisition company. The transaction will create the first nickel resource and green technology company listed on the NYSE and, upon completion, the combined company will operate under the “Lifezone Metals” name and be listed under the ticker symbol “LZM.” The transaction values the combined company at a pro forma implied equity value of up to approximately $1.0 billion. Cravath is representing Lifezone Metals in connection with the transaction.
