Rogers Communications Inc.’s $7.05 Billion and CAD$4.25 Billion Senior Notes Offerings

Cravath represented Rogers Communications Inc. in connection with its concurrent offerings of $7.05 billion of senior notes and CAD$4.25 billion of senior notes. Proceeds from the offerings are intended to be used to fund a portion of the cash consideration for the pending acquisition of Shaw Communications Inc. Rogers Communications Inc. is Canada’s largest provider of wireless voice and data communications services and one of Canada’s leading providers of cable television, high‑speed Internet and telephony services to consumers and businesses. The offerings closed on March 11, 2022.
The Cravath team included partners Joseph D. Zavaglia and Douglas C. Dolan and associate Michael Weil on capital markets matters, partner Arvind Ravichandran and associate Joana W. Li on tax matters, and partner Matthew J. Bobby and practice area attorney Courtnii Lamar on executive compensation and benefits matters. Benjamin C. Dale also worked on capital markets matters and Jamie H. Lee also worked on tax matters.
