Flora Ng focuses her practice on complex litigation, particularly in the areas of general commercial disputes and securities litigation, as well as investigations and arbitration matters. She has represented a variety of clients, including 260 Twelfth Avenue Holdings LLC, Alcoa, Anadarko Petroleum, Credit Suisse, NCR, Occidental Petroleum, SPI Group and Telia Company.

Ms. Ng’s representative matters include:

  • Representation of Forward Air Corporation in an action filed by Omni Logistics, LLC in the Delaware Court of Chancery, which sought to compel Forward Air to close its proposed acquisition of Omni.
  • Representation of select members of SunPower Corporation’s Board of Directors in a stockholder derivative action filed in the Delaware Court of Chancery in connection with the sale of SunPower’s commercial and industrial business to a subsidiary of TotalEnergies SE.
  • Representation of 260 Twelfth Avenue Holdings LLC and other stakeholders in litigation to obtain just compensation for the taking of property through eminent domain by the National Railroad Passenger Corporation (Amtrak) in connection with the Hudson Tunnel Project in New York City.
  • Representation of Anadarko Petroleum in class action securities litigation filed in Texas federal court alleging Anadarko made false and misleading statements concerning the company’s business and operations in the Shenandoah deepwater oil field.
  • Representation of Occidental Petroleum and certain of its officers and directors of putative securities class action litigation filed in New York state court relating to securities offerings conducted in connection with Occidental’s $57 billion acquisition of Anadarko Petroleum.
  • Representation of Alcoa in an arbitration in Geneva conducted under International Chamber of Commerce rules regarding the shipment of bauxite from West Africa.
  • Assisted the compliance monitor for TK Holdings (“Takata”) regarding process safety matters in connection with the recall of certain of Takata’s airbag inflators.
  • Representation of Telia Company in connection with FCPA investigations by the SEC, DOJ and Swedish and Dutch authorities, resulting in one of the largest FCPA resolutions ever.
  • Representation of Credit Suisse and several of its U.S. and non‑U.S. subsidiaries as creditors in connection with the Lehman bankruptcy related to the early termination of derivative trades.
  • Representation of SPI Group in its dispute against the Russian Federation over the ownership of the famous Stolichnaya vodka trademarks.
  • Representation of NCR in Superfund environmental action relating to the remediation of Wisconsin’s Fox River.

Ms. Ng received an A.B. magna cum laude in Economics and Government from Dartmouth College in 2010 and a J.D. from Columbia Law School in 2016. At Columbia, she was a Harlan Fiske Stone Scholar and a submissions editor of the Business Law Review.

Ms. Ng joined Cravath as a summer associate in 2015 and rejoined the legal staff as an associate in 2016. She was named of counsel in 2023.

Forward Air’s Amended Agreement to Acquire Omni Logistics, Resolving Previously Announced Litigation

On January 22, 2024, Forward Air Corporation (“Forward”) announced an agreement with Omni Logistics, LLC (“Omni”), a private company that is majority owned by Ridgemont Equity Partners and EVE Partners, LLC, to amend the terms of the existing merger agreement relating to their previously announced acquisition. This agreement ends the litigation between the parties, which will now be dismissed. Under the terms of the amended merger agreement, Omni shareholders will receive $20 million in cash, instead of the $150 million initially agreed, and 35% of Forward’s pro forma common equity (on a fully‑diluted, as‑converted basis), as compared to the 37.7% of Forward’s pro forma common equity (on a fully‑diluted, as‑converted basis) contemplated by the original agreement. Cravath is representing Forward in connection with the transaction and related litigation.

On November 17, 2023, Virginia M. Anderson, D. Ana Choi, Christopher P. Davis, Janice T.P. Martindale, Flora Ng, Nicole M. Peles, Scott B.
