On May 9, 2025, TaskUs, Inc. (“TaskUs”), a leading provider of outsourced digital services and next‑generation customer experience to companies, announced it has entered into a definitive agreement to become a privately held company. Under the terms of the agreement, an affiliate of Blackstone, TaskUs Co‑Founder and Chief Executive Officer Bryce Maddock and TaskUs Co‑Founder and President Jaspar Weir (collectively the “Buyer Group”) will acquire 100% of the outstanding shares of Class A common stock they do not already own for $16.50 per share in an all-cash transaction. Upon completion of the transaction, the Company’s Class A common stock will no longer be listed on any public market. The TaskUs Board of Directors has approved the transaction upon the unanimous recommendation of a special committee of independent directors (the “Special Committee”), which was formed on March 20, 2025, in response to interest expressed by the Buyer Group in exploring a possible transaction. Cravath is representing the Special Committee in connection with the transaction.

On April 7, 2025, IBM announced it has acquired Hakkoda Inc., a leading global data and AI consultancy. Hakkoda will expand IBM Consulting's data transformation services portfolio, adding specialized data platform expertise to help clients get their data ready to fuel AI‑powered business operations. Cravath is representing IBM in connection with the transaction.

On September 25, 2024, Investcorp a leading global alternative investment firm, announced its acquisition of Stowe Family Law Holdings Limited, the largest specialist family law firm in the United Kingdom. Cravath represented Investcorp in the committed debt financing in connection with the transaction.

On July 9, 2024, Altus Group Limited (“Altus Group”), a leading provider of asset and fund intelligence for commercial real estate, announced that it has signed a definitive agreement to sell its global Property Tax business to Ryan, LLC (“Ryan”), a leading global tax services and software provider, for total cash consideration of C$700 million. In addition to the definitive agreement, Ryan has also committed to enter a C$15 million Altus Market Insights subscription agreement at the close of the transaction, with an initial three‑year term of C$5 million per year. Cravath is representing Altus Group as U.S. counsel in connection with the transaction.

Cravath represented Genpact Luxembourg S.à r.l. and Genpact USA, Inc. in connection with their $400 million registered senior notes offering, guaranteed by Genpact Limited. Genpact is a global professional services and solutions firm. The transaction closed on June 4, 2024.

On April 3, 2025, IFLR honored Cravath as an advisor of the “Loan Deal of the Year” at the publication’s 2025 Europe Awards, in connection with the Firm’s representation of the lead arrangers and initial purchasers in the financing for TDR Capital and I Squared Capital’s €1.9 billion acquisition of Applus. In announcing the award, IFLR highlighted the “bespoke innovative English law financing arrangements” involved in the deal as well as the nine global jurisdictions it spanned. The publication also noted how “the deal teams navigated untested regulatory and other deal‑specific requirements that contained a number of firsts in the Spanish market.”

On June 6, 2024, Cravath partners John W. White and Jennifer S. Leete participated in the 42nd Annual SEC and Financial Reporting Institute Conference, which was co‑hosted by the University of Southern California’s Leventhal School of Accounting and Financial Executives International in Los Angeles. The conference featured business and accounting executives and leading professionals from the U.S. Securities and Exchange Commission, the Financial Accounting Standards Board and Public Company Accounting Oversight Board to discuss recent SEC and financial reporting issues. John is Chair of the Institute’s Advisory Board.

On January 11, 2024, Cravath partner Jennifer S. Leete participated in “Audit Committees, Special Committees and Internal Investigations 2024,” a program presented by the Practising Law Institute in New York. Jennifer spoke on a panel entitled “Regulatory and Financial Reporting Developments – What Audit Committee and Special Committee Members Need to Know,” which reviewed the recent trends and developments regarding financial reporting concerns impacting audit committees and how auditing professionals should prepare for and integrate these changes from the Public Company Accounting Oversight Board’s perspective.
