Baker Hughes’s Registered Senior Notes Offering

Cravath represented the underwriters, led by BofA Securities, Morgan Stanley, Barclays, Citigroup, Deutsche Bank Securities, HSBC and J.P. Morgan Securities, in connection with the $525 million registered senior notes offering of Baker Hughes, a GE company, LLC and Baker Hughes Co‑Obligor, Inc. Baker Hughes is a fullstream oilfield technology provider that has a unique mix of integrated oilfield products, services and digital solutions. The transaction closed on November 7, 2019.

The Cravath team included partners William V. Fogg and Andrew J. Pitts and associates Yannick Adler, Megan M. Ji and Christopher M. Tierney on securities matters, and associate Kiran Sheffrin on tax matters. Duncan H. Hardell also worked on the matter.

Morgan Securities and UniCredit Capital Markets, in connection with the $3.95 billion 144A/Reg. S senior notes offering of Baker Hughes, a GE company, and Baker Hughes Co‑Obligor, Inc. Baker Hughes is a leading supplier of oilfield services, products, technology and systems. Cravath also represented the dealer managers in connection with concurrent debt self‑tender offers by Baker Hughes. The transaction closed on December 11, 2017.
