Annie’s Common Stock Offering

March 18, 2013

Cravath represented the underwriters, Credit Suisse, J.P. Morgan Securities, Stifel, William Blair and RBC Capital Markets, in connection with the US$140 million secondary offering of common stock of Annie’s Inc., a natural and organic food company. Annie’s is a portfolio company of Solera Capital. The shares were listed on the New York Stock Exchange. The transaction closed March 18, 2013.

The Cravath team included partner Kris F. Heinzelman and associates Kenneth S. Gerold and Thomas K. Wiesner II.

Cravath also represented the dealer managers in connection with the concurrent cash tender offers for notes of Alcoa Nederland Holding B.V., a wholly owned subsidiary of Alcoa Corporation, with an aggregate principal amount of up to $1 billion. The transactions closed on March 17, 2025.
