First Student Bidco Inc. and First Transit Parent Inc.’s Senior Secured Notes Offering

August 30, 2021

Cravath represented the underwriters in connection with the $800 million 144A/Reg. S senior secured notes offering of First Student Bidco Inc. and First Transit Parent Inc. Proceeds of the offering were used to finance the acquisition of the North American First Student and First Transit businesses of FirstGroup plc, a passenger transportation service. The transaction closed on July 21, 2021.

The Cravath team included partners Craig F. Arcella and C. Daniel Haaren and associates David Li and Courtney T. Seager on capital markets matters, and associate David Crampton on executive compensation and benefits matters. Luke A. Martin also worked on capital markets matters and Alissa B. Fromkin also worked on tax matters.
