World Acceptance Corporation’s High‑Yield Senior Notes Offering

October 15, 2021

Cravath represented the initial purchasers in connection with the $300 million 144A/Reg. S high‑yield senior notes offering of World Acceptance Corporation, one of the nation’s largest small‑loan consumer finance companies. The transaction closed on September 27, 2021.

The Cravath team included partners William V. Fogg and Michael E. Mariani and associates Andrew D. Norwich and Ahra Cho on capital markets matters; associate Sonia Katharani‑Khan on tax matters; partner Matthew Morreale on environmental matters; and associate David Crampton on executive compensation and benefits matters. Alissa B. Fromkin also worked on tax matters.

Cravath also represented the dealer managers in connection with the concurrent cash tender offers for notes of Alcoa Nederland Holding B.V., a wholly owned subsidiary of Alcoa Corporation, with an aggregate principal amount of up to $1 billion. The transactions closed on March 17, 2025.
