Cravath partners Jelena McWilliams, Michael L. Arnold and Matthew J. Bobby spoke at the American Bar Association’s 2023 Business Law Section Hybrid Spring Meeting, which was held from April 27‑29, 2023 in Seattle, WA.
Jelena spoke on a showcase CLE panel which reviewed recent bank failures, the specifics of the FDIC receivership, what companies interfacing with the bridge bank need to be aware of and whether financial institutions could be at risk of failing in this evolving landscape. Michael moderated a showcase CLE panel which addressed the emerging backlash to ESG across multiple dimensions, including in political controversies, in the long‑running debates around shareholder or stakeholder primacy and in criticism of recent actions by the U.S. Securities and Exchange Commission. Matthew spoke on a panel which examined the recent practice of certain companies of granting large equity incentive grants to founders and key executives and, among other things, whether and how such grants may benefit shareholders and what processes a board of directors should follow when considering such grants.
