Law360 Names Cravath a 2021 “M&A Practice Group of the Year”

On January 19, 2022, Cravath was featured by Law360 as an “M&A Practice Group of the Year,” receiving the distinction for the ninth time in eleven years. The Firm was recognized for its role in “many of last year’s major M&A plays,” including its success with “complex cross-border transactions,” as “it regularly represents international entities on enormous transactions.” The article records that almost half the deals Cravath counseled on in 2021 were of the cross-border variety.

The feature highlights Cravath’s role advising AerCap in its $30 billion acquisition of GE Capital Aviation Services from General Electric; Afterpay in its $29 billion acquisition by Square; Rogers Communications Inc. as U.S. corporate and financing counsel in connection with its CAD $26 billion acquisition of Shaw Communications Inc.; and Thermo Fisher in connection with its $20.9 billion acquisition of PPD, Inc.

      March 10, 2021

      AerCap’s Acquisition of GE Capital Aviation Services

      On March 10, 2021, AerCap Holdings N.V. (“AerCap”), a global leader in aircraft leasing, announced that it has entered into a definitive agreement with General Electric (“GE”) under which AerCap will acquire 100% of GE Capital Aviation Services, a GE business. Under the terms of the agreement, which has been unanimously approved by the boards of directors of AerCap and GE, GE will receive 111.5 million newly issued AerCap shares, $24 billion of cash and $1 billion of AerCap notes and/or cash. Cravath is representing AerCap in connection with the transaction.

      Afterpay’s $29 Billion Acquisition by Square, Inc.

      On August 1, 2021, Afterpay Limited and Square, Inc. announced that they have entered into a Scheme Implementation Deed under which Square has agreed to acquire all of the issued shares in Afterpay by way of a recommended court-approved Scheme of Arrangement. The transaction has an implied value of approximately $29 billion based on the closing price of Square common stock on July 30, 2021, and is expected to be paid in all stock. Cravath, together with Gilbert + Tobin, is representing Afterpay in connection with the transaction.

      March 15, 2021

      Rogers’s CAD $26 Billion Acquisition of Shaw

      On March 15, 2021, Canadian technology and media company Rogers Communications Inc. (“Rogers”) and Canadian connectivity company Shaw Communications Inc. (“Shaw”) announced that they have reached an agreement for Rogers to acquire all of Shaw’s issued and outstanding Class A Shares and Class B Shares in a transaction valued at approximately CAD $26 billion, inclusive of approximately CAD $6 billion of Shaw debt. Cravath is representing Rogers as U.S. corporate and financing counsel in connection with the transaction.

      Thermo Fisher Scientific’s $20.9 Billion Acquisition of PPD, Inc.

      On April 15, 2021, Thermo Fisher Scientific Inc. (“Thermo Fisher”), a leader in serving science, and PPD, Inc. (“PPD”), a leading provider of clinical research services to the pharma and biotech industry, announced that their boards of directors have approved a definitive agreement under which Thermo Fisher will acquire PPD for $47.50 per share for a total cash purchase price of $17.4 billion plus the assumption of approximately $3.5 billion of net debt. Cravath is representing Thermo Fisher in connection with the transaction.
