Ellen H. Park focuses her practice primarily on representing corporate issuers, investors, financial institutions and other parties in various capital markets transactions, including IPOs, venture capital and growth equity transactions and other debt and equity offerings. Ms. Park also represents and regularly advises clients in mergers and acquisitions, shareholder activism defense and corporate governance and disclosure matters. She is a member of the Venture Capital & Growth Equity Practice.

Ms. Park dedicates a significant portion of her practice to advising venture capital‑backed companies, as well as founders and investors, in a wide range of corporate matters, including pre‑IPO financing rounds, IPOs and other capital markets transactions, company structuring and shareholder arrangements. She has counseled numerous clients in technology, fintech, digital assets and artificial intelligence spaces, as well as in the healthcare and life sciences, consumer products and services, energy and infrastructure, industrials and chemicals, media and entertainment and retail sectors.

Ms. Park’s notable matters include:

  • Representing Robinhood in its $2.2 billion IPO and the shelf registration of class A common stock by its selling stockholders; 
  • Representing the underwriters in the $600 million common stock offering of Galaxy Digital, its first underwritten public offering as a NASDAQ-listed company, and the initial purchasers in its $1.3 billion exchangeable senior notes offering;
  • Representing Silvergate Bank in its wind‑down of operations and chapter 11 bankruptcy;
  • Company-side venture financings such as Robinhood’s $3.4 billion private placement of convertible notes and warrants, and venture investor representations including Brevan Howard Digital, D.E. Shaw, Paradigm and Thrive Capital in various matters;
  • Representations of companies on regulatory matters in the blockchain and digital assets space, including Circle related to its $1.05 billion IPO;
  • A variety of equity and debt offerings for companies such as American Axle & Manufacturing, Baker Hughes, Boot Barn, Chesapeake Energy, Compass Minerals, Galaxy Digital, Greif, Hess Midstream, Itron, Marathon Petroleum, MPLX, Nestlé and Phillips 66;
  • Representing Mylan in its $50 billion combination with Upjohn, a division of Pfizer, to form Viatris, and Viatris in the $2.17 billion divestiture of its Over‑the‑Counter business to Cooper Consumer Health;
  • Representing the special committee of the board of directors of EchoStar in the $26 billion combination with DISH Network;
  • Representing Valvoline in the $2.65 billion sale of its Global Products business to Aramco;

Ms. Park was born in Seoul, South Korea, and grew up in San Diego, California. She received a B.A. from the University of California, San Diego in 2013 and a J.D. cum laude from Harvard Law School in 2017, where she was Chair of the Venture Fund of the Women’s Law Association.

Ms. Park joined Cravath in 2017 and was named of counsel in 2024 and elected a partner in 2025.

Cravath represented funds managed by affiliates of Brevan Howard in connection with an investment in Ripple Labs, Inc., consisting of a private placement of Class A Common Stock, as part of Ripple’s $500 million strategic investment at a $40 billion valuation, led by funds managed by affiliates of Fortress Investment Group, affiliates of Citadel Securities, Pantera Capital, Galaxy Digital, Brevan Howard and Marshall Wace. This was Galaxy Digital Inc.’s first underwritten public offering of its Class A common stock as a listed company on the Nasdaq Global Select Market. The transaction closed on June 3, 2025.

Silvergate’s Settlement Agreements with the Federal Reserve, California Department of Financial Protection and Innovation and Securities and Exchange Commission

On July 1, 2024, Silvergate announced it has agreed to settlements with the Board of Governors of the Federal Reserve System (“Federal Reserve”), the California Department of Financial Protection and Innovation (“DFPI”) and the Securities and Exchange Commission (“SEC”). In a statement, Silvergate noted its decision to liquidate voluntarily and without government assistance in March 2023, and that, as of November 2023, all deposits had been repaid to banking customers, soon after which Silvergate ceased banking operations. The announced settlements, which facilitate the surrender of Silvergate’s bank charter, are part of the Bank’s continued orderly wind down and conclude investigations by the Federal Reserve, DFPI, and SEC. Cravath represented Silvergate in connection with the investigations, resulting settlements, and voluntary liquidation.
