Kathryn-Ann Stamm Speaks at NYU SBLA’s “Legal Side of Startups” Panel

On October 9, 2025, Cravath of counsel Kathryn‑Ann Stamm participated in a panel entitled “Legal Side of Startups,” hosted by the NYU Stern Business and Law Association (“SBLA”). SBLA is dedicated to exploring the intersection between business and law by sharing practical insights from professionals involved in corporate law, strategy and entrepreneurship. During the panel, Kathryn‑Ann spoke about the interplay between venture capital and intellectual property (“IP”) law, emphasizing how early‑stage IP strategies underpin valuation, diligence readiness and long‑term success. She also explored scaling challenges as startups mature and discussed how emerging technologies, including AI, are reshaping diligence, licensing, data use and product development.

    White Mountains’ $1.75 Billion Sale of Bamboo to CVC

    On October 3, 2025, White Mountains Insurance Group, Ltd. (“White Mountains”), a Bermuda-domiciled financial services holding company, announced that it has signed a definitive agreement to sell a controlling interest in Bamboo, a data-enabled insurance distribution platform, to funds advised by CVC Capital Partners (“CVC”) in a transaction that values Bamboo at $1.75 billion. White Mountains expects the transaction will result in a gain of approximately $310 to its book value per share and net cash proceeds of approximately $840 million. White Mountains will retain an approximately 15% fully-diluted equity stake in Bamboo post-closing, valued at $250 million based on the transaction. Cravath is representing White Mountains and Bamboo in connection with the transaction.

    ESPN’s Acquisition of NFL Network and Other Media Assets from the NFL

    On August 5, 2025, ESPN, a subsidiary of The Walt Disney Company (“Disney”), and the National Football League (“NFL”) announced a non‑binding agreement under which ESPN will acquire NFL Network and certain other media assets owned and controlled by the NFL, including NFL’s linear RedZone Channel and NFL Fantasy, in exchange for a 10% equity stake in ESPN. The NFL and ESPN are also entering into a second non‑binding agreement, under which the NFL will license to ESPN certain NFL content and other intellectual property to be used by NFL Network and other assets. Cravath is representing Disney and ESPN in connection with the transaction.

    ZimVie’s Acquisition by ARCHIMED

    On July 21, 2025, ZimVie Inc. (“ZimVie”), a global life sciences leader in the dental implant market, announced their entry into a definitive agreement pursuant to which ZimVie will be acquired by an affiliate of ARCHIMED (“ARCHIMED”), an investment firm focused exclusively on healthcare industries. Under the terms of the merger agreement, ZimVie stockholders will receive $19.00 in cash for each share of ZimVie common stock outstanding at the closing of the transaction, corresponding to an enterprise value of approximately $730 million. Cravath is representing ZimVie in connection with the transaction.

    Illumina’s Acquisition of SomaLogic

    On June 23, 2025, Illumina, Inc. (“Illumina”) announced it has entered into a definitive agreement with Standard BioTools under which Illumina will acquire SomaLogic, a leader in data‑driven proteomics technology, and other specified assets for $350 million in cash payable at closing, subject to customary adjustments, plus up to $75 million in near-term performance‑based milestones and performance‑based royalties. Cravath is representing Illumina in connection with the transaction.
