Law360 Names Cravath a 2024 “Securities Practice Group of the Year”

On February 25, 2025, Cravath was featured by Law360 as a “Securities Practice Group of the Year.” The profile highlighted the Firm’s “reputation as one of the top law firms that companies rely on for representation when faced with derivative lawsuits, investor class actions and other securities‑related litigation,” and recognized in particular the Firm’s representation of Robinhood in the sprawling “Meme Stock” litigation; Forward Air in its amended agreement to acquire Omni Logistics, resolving previously announced litigation; Root in its Sixth Circuit win affirming the dismissal of a putative securities class action; and Mylan in its appellate win affirming summary judgment in a securities class action.

Cravath partner Antony L. Ryan discussed the Firm’s generalist approach to training attorneys in the litigation department, which allows the group to handle evolving client needs: “We’re well‑equipped to handle large securities litigation. … But our way of viewing this isn't that we're trying to do securities litigation, per se. Our aspiration is to be handling whatever cases are the most important for our clients.” Cravath partner Brittany L. Sukiennik further emphasized the importance of the generalist approach at Cravath, explaining how it allowed the group “to take on all three … tranches for Robinhood,” with Cravath leading Robinhood’s defense and securing dismissal from two of the tranches in 2022 before defeating class certification for investors in the last remaining federal securities tranche. Brittany added that the final win for Robinhood in the federal securities tranche “just exemplifies what we can do for our clients and why it's so important for us to have that holistic approach.”

      On November 13, 2023, the U.S. District Court for the Southern District of Florida denied plaintiffs’ motion to certify a class asserting market manipulation claims under the federal securities laws against Cravath clients Robinhood Markets, Inc., Robinhood Financial LLC and Robinhood Securities, LLC (together, “Robinhood”).

      Forward Air’s Amended Agreement to Acquire Omni Logistics, Resolving Previously Announced Litigation

      On January 22, 2024, Forward Air Corporation (“Forward”) announced an agreement with Omni Logistics, LLC (“Omni”), a private company that is majority owned by Ridgemont Equity Partners and EVE Partners, LLC, to amend the terms of the existing merger agreement relating to their previously announced acquisition. This agreement ends the litigation between the parties, which will now be dismissed. Under the terms of the amended merger agreement, Omni shareholders will receive $20 million in cash, instead of the $150 million initially agreed, and 35% of Forward’s pro forma common equity (on a fully‑diluted, as‑converted basis), as compared to the 37.7% of Forward’s pro forma common equity (on a fully‑diluted, as‑converted basis) contemplated by the original agreement. Cravath is representing Forward in connection with the transaction and related litigation.

      Root’s Sixth Circuit Win Affirming Dismissal of Putative Securities Class Action

      On April 29, 2024, a three‑judge panel of the U.S. Court of Appeals for the Sixth Circuit ruled in favor of Cravath clients Root, Inc., an insurance company primarily focused on automobile insurance, and certain of its officers and directors (collectively, “Root”) in affirming the U.S. District Court for the Southern District of Ohio’s dismissal of a purported class action securities complaint. The decision is a precedential opinion that creates new law of the circuit.

      Mylan’s Appellate Win Affirming Summary Judgment in Securities Class Action

      On Monday, April 15, 2024, the U.S. Court of Appeals for the Second Circuit affirmed the U.S. District Court for the Southern District of New York’s granting of summary judgment in favor of Cravath client Mylan in a securities class action related to Mylan’s marketing, pricing and classification of EpiPen as well as alleged conduct concerning generic drug price fixing and market allocation.
